Alternatives and Private Credit Product Attorney
The Expertise We’re Looking For
- Minimum ten years as a practicing attorney with relevant experience.
- Significant experience working on private credit and/or other alternative investment vehicles and strategies
- Experience structuring and working on Business Development Companies and 40 Act registered Interval Funds
- Experience structuring and working with private (3(c)(7)) Funds.
- Familiarity with the Investment Advisers Act of 1940 and the Investment Company Act of 1940
- Strong practical skills and industry knowledge.
- Experience working with institutional client accounts (negotiating Investment Management Agreements, etc.) a plus
- Familiarity with ERISA and/or Plan Assets Funds a plus.
- Familiarity with CFTC regulations and Commodity Pools a plus.
The Purpose of Your Role
Provide counsel to Fidelity Asset Management with respect to the legal and regulatory issues associated with structuring, offering and the ongoing maintenance of Private Credit and other Alternative investment vehicles, including Business Development Companies, Interval Funds and 3(c)(7) Private Funds. In this role, you will provide all aspects of legal support to the structuring and development of Fidelity Asset Management’s Institutional and Alternative Investments products. You will work closely with our Product Teams, as well as our Direct Lending and High Income investment Teams in the creation of new Alternative Investment vehicles and the ongoing support of our existing vehicles. In this regard you will also work closely with many other business and support units within Fidelity, including compliance, fund accounting, finance, portfolio management, risk, sales, client servicing, and transfer agency/client onboarding.

The Value You Deliver
- You will be a key member and contributor to Fidelity Asset Management Legal Department’s Institutional and Alternatives team. You will work alongside a team of other attorneys and paralegals dedicated to the institutional/alternatives space. This team works together to support the institutional/alternatives product, investment and sales teams.
- You will interact with product, portfolio management, sales, compliance, risk and trading professionals.
- You will have responsibility for assisting with the structuring and development of institutional and alternative products.
- You will have responsibility for negotiating the terms of investment management agreements with institutional clients (including Pensions/ERISA Plans).
- In collaboration with other members of the Fidelity Asset Management Legal team, you will work closely with Asset Management Compliance and Risk to resolve issues.
